TERMS OF SERVICE

You must be at least 18 years old to use the Service. You must provide accurate, current, and complete information when creating your account, and keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@shopreaper.app if you suspect unauthorized access.

Shop Reaper provides monitoring of TikTok Shop Seller Performance Score (SPS) metrics and related data. We send alerts via Telegram when your shop's metrics approach thresholds associated with potential TikTok platform penalties.

The Service is provided to assist you in managing your TikTok Shop. Shop Reaper is not affiliated with, endorsed by, or sponsored by TikTok, Inc., ByteDance Ltd., or any of their subsidiaries.

Subscription Tiers

The Service offers paid subscription plans ("Reaper" at $49 per month, "Agency" at $99 per month) and one-time products (such as the AI Diagnostic Report at $297 and GMV Max Readiness Audit at $290), as listed on shopreaper.app. Pricing is subject to change with reasonable notice.

Free Trial

New subscribers receive a 14-day trial. You must provide a valid payment method to start the trial. You will be charged automatically at the end of the trial unless you cancel before it ends.

Recurring Charges

Paid subscriptions automatically renew at the end of each billing period. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel.

Cancellation

You can cancel your subscription at any time through the billing portal accessible from your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access until then.

Refunds

Monthly subscription fees are non-refundable. One-time products (Diagnostic Report, GMV Audit) are refundable within 7 days of purchase if the report has not yet been generated. After generation, one-time products are non-refundable.

Failed Payments

If your payment method fails, your access may be paused. You will receive notification and an opportunity to update your payment method. If payment is not received within 7 days, your account may be downgraded or suspended.

You agree not to:

• —Use the Service for any illegal purpose
• —Reverse engineer, decompile, or attempt to extract source code
• —Resell, sublicense, or redistribute access to the Service without our written permission
• —Submit false, misleading, or fraudulent data to the Service
• —Use the Telegram bot to spam, abuse, or harass others
• —Attempt to bypass usage limits, rate limits, or security controls
• —Interfere with the operation of the Service for other users
• —Use automated means to scrape, copy, or duplicate the Service

We reserve the right to suspend or terminate accounts that violate these terms.

You retain ownership of the screenshots, data, and information you submit to the Service ("Your Content"). By submitting Your Content, you grant Shop Reaper a non-exclusive, worldwide, royalty-free license to use, store, and process Your Content solely for the purpose of providing the Service to you.

You represent that you have the right to submit Your Content and that doing so does not violate any third party's rights or any laws.

Shop Reaper provides monitoring and alerts based on metrics you submit. We do not guarantee that using the Service will prevent TikTok Shop suspensions, suppressions, penalties, or any other adverse actions taken by TikTok or any other platform.

You are solely responsible for the operation of your TikTok Shop, including compliance with TikTok's policies, fulfillment of orders, quality of products, and customer service. The Service is a tool to assist you, not a substitute for your own judgment and operational decisions.

We strive to maintain high uptime but do not guarantee uninterrupted service. The Service may be unavailable due to maintenance, updates, or events outside our control. We are not liable for any losses arising from Service downtime, including missed alerts.

We rely on third-party services (Telegram, Stripe, Supabase, Anthropic, etc.) that may experience outages. Our liability is limited where downstream services are unavailable.

The Service, including all software, design, text, logos, and content created by Shop Reaper, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes during your active subscription.

You may not copy, modify, distribute, or create derivative works based on the Service.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the Service will be error-free, secure, or uninterrupted, or that alerts will be timely or accurate.

To the maximum extent permitted by law, in no event will Shop Reaper or its operators be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising from or related to your use of the Service.

Our total liability for any claims arising from or related to the Service will not exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow limitations on implied warranties or exclusions of certain damages. If these laws apply to you, some or all of the above limitations may not apply.

You agree to indemnify and hold harmless Shop Reaper, its operators, affiliates, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

You may terminate your account at any time by canceling your subscription and requesting account deletion at support@shopreaper.app.

We may suspend or terminate your account immediately for violation of these Terms, illegal activity, or non-payment.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will survive.

We may modify the Service or these Terms at any time. Material changes to the Terms will be communicated by email or through the Service with reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

These Terms are governed by the laws of the State of Mississippi, United States, without regard to conflict of law principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Union County, Mississippi, and you consent to the jurisdiction of those courts.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Shop Reaper regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect.
